- Prohibited Actions: You may not:
- Redistribute, resell, sublicense, or transfer the bot or any of its components
- Reverse engineer, decompile, or attempt to extract source code
- Modify, adapt, or create derivative works without prior written consent
- Remove or alter any proprietary notices, credits, or branding
- Claim ownership or authorship of the bot
- Code Reuse: We expressly reserve the right to reuse, repurpose, or incorporate any code, features, systems, or methodologies developed for your bot in future projects for other clients.

- All applicable local, state, national, and international laws
- Ensure the bot is not used for:
- Harassment, hate speech, discrimination, or targeted abuse
- Fraud, phishing, scams, or deceptive practices
- Spam, unsolicited messages, or disruptive automation
- Any unlawful activities or violations of third-party rights
Consequence: Violation of these responsibilities may result in immediate termination of your license without refund.

- Pricing: All fees, payment methods (e.g., Robux, PayPal), and delivery timelines will be agreed upon in writing before work commences.
- Payment Schedule: Payment must be made according to the agreed terms. We reserve the right to suspend or cancel services for non-payment.
- Refund Policy:
- Before work begins: Partial refunds may be issued at our discretion.
- After work begins: Partial refunds may be considered based on work completed.
- After delivery: No refunds will be issued, as the service has been fulfilled.
- Final Authority: All refund decisions are made solely by Ioria and are final.
- Chargebacks: Initiating a chargeback or payment dispute constitutes a material breach and will result in immediate termination of all services and licenses.

- Optional Hosting: We may offer hosting services for your custom Discord bot at our discretion. Hosting is not included by default and must be agreed upon separately.
- Third-Party Infrastructure: All hosting services are provided through Bionic ("Bionic Services"), a third-party platform that builds and hosts Discord bots, graphic designs, and web services including subdomains.
- Bionic's Role: Bionic manages and maintains the server infrastructure on which your bot operates. We have no control over Bionic's infrastructure, uptime, or operational decisions.
- Independent Relationship: Ioria and Bionic operate independently. Neither party is responsible or liable for the actions, services, or decisions of the other.
- Dual Terms Acceptance: By using our hosting services, you expressly agree to be bound by both:

- Bionic's Terms of Service, available at: https://bionic.wowzatm.me
- Bionic's Termination Rights: Bionic reserves the right, at their sole and absolute discretion, to terminate, suspend, or disable your bot at any time for any reason, including but not limited to situations where:
- We notify Bionic of a Terms violation
- Bionic independently determines a violation of their Terms of Service
- Technical, security, or operational issues arise
- Any violation of Discord's Terms of Service or Community Guidelines occurs
- Any other reason Bionic deems appropriate
- Waiver of Claims Against Bionic: By using our hosting services, you expressly waive any and all rights to bring legal action, claims, lawsuits, or disputes against Bionic for:
- Suspension, termination, or disabling of your bot
- Downtime, service interruptions, or loss of data
- Any decisions made by Bionic regarding hosting services
- Any actions taken or not taken by Bionic in connection with your bot
You agree to hold Bionic harmless and release Bionic from any and all liability related to hosting services.
- Mutual Liability Limitation:
- We are not responsible or liable for any actions, decisions, downtime, data loss, or service interruptions caused by Bionic
- Bionic is not responsible or liable for any actions, decisions, bot functionality, content, or services provided by Ioria
- All disputes related to hosting infrastructure must be directed to Bionic
- All disputes related to bot development, functionality, or our services must be directed to Ioria
- No Guaranteed Uptime: Hosting is provided on an "as-is" basis with no guarantees of uptime, performance, or availability.
- Migration Limitations: If hosting is terminated by either party or Bionic, we are under no obligation to migrate your bot to alternative hosting. Source code remains our intellectual property per Section 2.
- Hosting Fees: If applicable, hosting fees will be specified separately and are in addition to bot development costs. Non-payment may result in immediate suspension of hosting services.
- Your Responsibility: You are solely responsible for reviewing and complying with Bionic's Terms of Service. Failure to comply with Bionic's Terms may result in termination of hosting without refund.
- Acknowledgment: By agreeing to these Terms, you acknowledge and accept that Bionic has complete discretion over hosting services and that you have no recourse against Bionic for any hosting-related decisions or actions.

- AS-IS Basis: All bots and services are provided "as-is" and "as available" without warranties of any kind, either express or implied.
- No Guarantees: We do not warrant that bots will be error-free, uninterrupted, secure, or compatible with all systems or future Discord updates.
- Third-Party Dependencies: Bot functionality may depend on Discord's API, third-party services, or external hosting. We are not responsible for issues arising from these dependencies.

To the fullest extent permitted by law:
- We are not responsible or liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from:
- Use or inability to use the bot
- Discord API changes, outages, or policy updates
- Misuse of the bot by you or third parties
- Data loss, server disruptions, or security breaches
- Issues arising from Bionic's hosting services, including but not limited to downtime, data loss, security breaches, or service termination
- Any claims, disputes, or issues between you and Bionic regarding hosting services
- Any actions taken by Bionic in response to notifications or reports from Ioria
- Any other cause related to the bot or our services
- Maximum Liability: Our total liability shall not exceed the amount you paid for the specific service in question.
Bionic Indemnification: You agree to indemnify, defend, and hold harmless Bionic from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to your use of hosting services, your bot, or any actions taken by Bionic in accordance with their Terms of Service or at their discretion. You expressly waive any right to sue or bring legal action against Bionic for any reason related to hosting services.
Third-Party Indemnification: You agree that Bionic shall not be held liable for any aspect of bot development, functionality, content, or services provided by Ioria. Similarly, Ioria shall not be held liable for Bionic's hosting infrastructure, decisions, or service delivery.

We reserve the right to immediately terminate or suspend your license if:
- You breach any provision of these Terms
- Payment is not received as agreed
- You misuse the bot in violation of Discord's policies or applicable laws
- We lose administrative access to the bot or associated server
- We determine, in our sole discretion, that continued service is not feasible
Effect of Termination: Upon termination, you must immediately cease all use of the bot. No refunds will be issued for terminated services.

- Discretionary Updates: We may provide updates to address Discord API changes, security vulnerabilities, or bug fixes at our sole discretion.
- No Guaranteed Support: Long-term maintenance and updates are not guaranteed unless covered by a separate written agreement.
- Right to Discontinue: We reserve the right to disable, modify, or discontinue any bot at any time for any reason, including but not limited to technical issues, policy violations, or business decisions.

- Mandatory Credit: You must display the provided promotional material or credit in any server using our bots. This credit must be publicly visible and easily accessible.
- Prohibition on Removal: Removal, alteration, or obscuring of credits or branding is strictly prohibited without express written permission.
